     The search engines have a long list of criteria that they use to assess how "good" your website is. One of the major decision factors is how many incoming links your website has.

     The search engines think of each incoming link as a vote of confidence. They assume that since you have 300 websites giving you an incoming link that your website is better than another site with only 2 incoming links.

     The bottom line is that the search engines consider an incoming link a vote from another website saying that your website is so good that it will link to it.

I Exchanged Links With Someone. Is That Good?

Yes, that's true. The search engines reward a natural progression of incoming links. They can see that today you have 3 incoming links and one week from now you have 400 incoming links.
